We reserve the right to investigate and, at our discretion, take appropriate legal action against anyone who, in our sole judgment, violates this provision, including reporting such conduct to law enforcement authorities. We also reserve the right to terminate or suspend your access to the Services immediately, without notice or liability, for any violation of these Terms.

4. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, images, photographs, audio clips, video clips, digital downloads, data compilations, software, and all other materials (collectively, "Content"), is the exclusive property of Dewey's Pizza or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Dewey's Pizza name, logo, trade dress, and all related product and service names, design marks, and slogans are trademarks, service marks, or trade dress of Dewey's Pizza. You are not permitted to use these marks without our prior written consent. All other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners.

4.2 Limited License

Subject to your compliance with these Terms, Dewey's Pizza grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and its Content solely for your personal, non-commercial use in connection with the Services. This license does not include:

• Any resale or commercial use of the Site or its Content;
• Any collection and use of any product listings, descriptions, or prices;
• Any derivative use of the Site or its Content;

4.3 User-Submitted Content

If you submit any reviews, comments, photos, suggestions, feedback, or other content to us through the Site or via email ("User Content"), you grant Dewey's Pizza a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe on any third-party rights.

5. Payment Terms

5.1 Pricing

All prices displayed on our Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes, delivery fees, service charges, or gratuities unless explicitly stated. The total cost of your order, including all applicable fees and taxes, will be disclosed to you before you complete your purchase.

5.2 Payment Methods

5.5 Promotions and Discount Codes

6. Food Allergen and Dietary Information Disclaimer

Dewey's Pizza makes reasonable efforts to provide accurate allergen and ingredient information for our menu items. However, we cannot guarantee that any menu item is free from allergens, including but not limited to gluten, nuts, dairy, eggs, soy, shellfish, or other common allergens, due to the potential for cross-contamination during food preparation.

If you have a food allergy, sensitivity, or dietary restriction, you are solely responsible for notifying our staff at the time of your order and for making an informed decision about whether to consume our products. Dewey's Pizza shall not be liable for any adverse reactions, health issues, or injuries resulting from the consumption of our food products by individuals with food allergies or dietary restrictions.

7. Disclaimer of Warranties

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE; AND
• WARRANTIES THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, DEWEY'S PIZZA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER;
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
• INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE;
• BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED THROUGH THE SITE BY ANY THIRD PARTY; OR
• ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SITE;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

Some states do not allow certain limitations of liability. If you reside in such a state, the above limitations may not apply to you to the extent prohibited by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza, its owners, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or Services in any manner not expressly authorized by these Terms;
• Your violation of any applicable federal, state, or local law or regulation;
• Your violation of any third-party rights, including intellectual property rights or privacy rights;
• Any User Content you submit, post, or transmit through the Site; or
• Any fraudulent, negligent, or willful misconduct on your part.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.

You acknowledge and agree that Dewey's Pizza shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any third-party websites or services.

11. Privacy Policy

Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. 12. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Dewey's Pizza principally operates, without regard to its conflict of law provisions.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Dewey's Pizza agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States in the state of Dewey's Pizza's principal place of business. Both parties expressly waive any objection to the exercise of jurisdiction over them by such courts.

You acknowledge that your use of the Site and Services is subject to all applicable federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45 et seq.), the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), and all applicable state consumer protection statutes.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Dewey's Pizza and attempt to resolve the dispute informally by sending a written notice of your dispute to us at [email protected]. Your notice must include your name, contact information, a description of the dispute, and the relief you are seeking. We will attempt to resolve the dispute within thirty (30) calendar days of receipt of your notice. If the dispute is not resolved within that period, either party may proceed with formal dispute resolution as described below.

13.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

The arbitration shall be conducted in English, and the seat of arbitration shall be within the United States. The arbitrator shall have the authority to award any remedy that would be available in court, except that the arbitrator shall not have authority to award punitive damages except as expressly permitted by applicable statute.

13.3 Class Action Waiver

YOU AND DEWEY'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Claims that qualify for small claims court jurisdiction may be filed in small claims court rather than in arbitration.

14. Term and Termination

14.1 Term

These Terms of Service are effective as of the date you first access the Site or use the Services and shall remain in full force and effect until terminated in accordance with the provisions herein.

14.2 Termination by You

You may terminate your use of the Services at any time by ceasing to access the Site and, if applicable, by closing your account. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment for orders already placed.

14.3 Termination by Us

We reserve the right, at our sole discretion, to suspend or terminate your access to the Site and Services, with or without notice, for any reason, including but not limited to:

• Your breach of any provision of these Terms;
• Your engagement in any fraudulent, abusive, or illegal activity;
• Our decision to discontinue the Site or Services; or
• Any other reason we deem appropriate in our sole discretion.

14.4 Effect of Termination

Upon termination of these Terms for any reason, your right to use the Site and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, dispute resolution provisions, and governing law provisions.

Dewey's Pizza reserves the right to modify, update, or replace these Terms of Service at any time and at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we may also provide additional notice, such as posting a prominent notice on the Site or sending an email notification to registered users.

Your continued use of the Site or Services following the posting of any changes to these Terms constitutes your acceptance of those changes. If you do not agree with any modified Terms, your sole and exclusive remedy is to immediately discontinue use of the Site and Services.

16. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable under applicable law by a court of competent jurisdiction or an arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions of these Terms shall remain in full force and effect and shall not be affected by the invalid, illegal, or unenforceable provision or by its severance from these Terms.

The failure of Dewey's Pizza to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by a duly authorized representative of Dewey's Pizza.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Dewey's Pizza with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, negotiations, representations, and understandings, whether written or oral, between the parties regarding such subject matter.

No agency, partnership, joint venture, employment, or franchise relationship is created between you and Dewey's Pizza by reason of these Terms or your use of the Services.

18. Force Majeure

Dewey's Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms arising out of or caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, government actions, war, terrorism, labor disputes, power outages, internet service interruptions, or supply chain disruptions. In the event of such circumstances, we will make reasonable efforts to notify affected customers and minimize disruption to our Services.

19. Electronic Communications

By using our Site or communicating with us by email, you consent to receive communications from Dewey's Pizza electronically. We will communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq.
